We reserve the right to modify, suspend, or discontinue any part of the Services at any time with reasonable notice.

To access certain features of our Services, you may be required to create an account. You agree to:

• Maintain and promptly update your account information
• Keep your login credentials secure and confidential

• Not Professional Advice: AI outputs do not constitute legal, financial, insurance, or professional advice. Always consult qualified professionals for critical decisions.
• Continuous Improvement: AI models and algorithms may be updated periodically, which may affect outputs and functionality.
• Data Usage: Data you provide may be used to improve model performance, but we will never share your identifiable business data with competitors or unauthorized third parties.

For paid Services:

• Pricing: All prices are quoted in USD unless otherwise specified. Pricing is subject to change with 30 days' notice.
• Billing: You agree to pay all fees associated with the plan or services you select. Invoices are due within the agreed payment terms.
• Late Payments: Overdue payments may incur late fees and may result in suspension of Services.
• Refunds: Refund eligibility is determined on a case-by-case basis. Custom development work is generally non-refundable once delivered.
• Taxes: You are responsible for all applicable taxes unless we explicitly state otherwise.

Both parties agree to maintain the confidentiality of any proprietary or sensitive business information shared during the course of using or providing the Services. This includes but is not limited to:

• Business strategies, processes, and workflows
• Customer and policyholder data
• Financial information and pricing
• Technical specifications and system access credentials

Confidentiality obligations survive termination of these Terms for a period of 2 years.

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

• The Services will be uninterrupted, timely, secure, or error-free
• The results obtained from using the Services will be accurate or reliable
• Any errors in the Services will be corrected

We strive to provide high-quality, reliable Services and will make commercially reasonable efforts to maintain uptime and accuracy.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEXOMATEAI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE USE OF OUR SERVICES.

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID TO NEXOMATEAI IN THE 12 MONTHS PRECEDING THE CLAIM.

You agree to indemnify, defend, and hold harmless NexomateAI, its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorney's fees) arising from:

• Your use of the Services
• Your violation of these Terms
• Your violation of any third-party rights
• Any content you submit through the Services

Either party may terminate these Terms:

• For Convenience: With 30 days' written notice
• For Cause: Immediately upon material breach that remains uncured after 15 days' written notice

Upon termination:

• Your access to the Services will be suspended
• You may request export of your data within 30 days
• Outstanding payment obligations remain in effect
• Sections on Confidentiality, Liability, and Indemnification survive termination

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

Any disputes arising from these Terms shall first be attempted to be resolved through good-faith negotiation. If unresolved, disputes shall be submitted to binding arbitration in accordance with the rules of the American Arbitration Association (AAA).

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or through a prominent notice on our website at least 30 days before they take effect. Your continued use of the Services after the effective date constitutes acceptance of the modified Terms.
